8. |
A non-refundable reservation fee of $________ is required to secure D.J. “Dr. D”
for the engagement. This amount shall be subtracted from the performance fee. The
remaining balance of the performance fee must be paid in full before the start of
the engagement.

9. |
The Purchaser shall at all times have complete control, direction and supervision
of the performance of services by D.J. “Dr. D” at this engagement and Purchaser
expressly reserves the right to control the manner, means and details of the performance
of the services by D.J. “Dr. D”. A written event/music planner or music request
list must be received by D.J. “Dr. D” prior to the engagement for it to be included
in D.J. “Dr. D”’ programming guidelines. With or without the aid of an event/music
planner or music request list, D.J. “Dr. D” shall attempt to play Purchaser’s and
Purchaser’s guests’ music requests but shall not be held responsible if certain
selections are unavailable. D.J. “Dr. D” will make an extra effort to have music
requests available if D.J. “Dr. D” IN WRITING receives them at least two weeks prior
to the engagement.

10. |
This agreement of D.J. “Dr. D” to perform shall be excused by detention of personnel
by sickness, accidents, riots, strikes, epidemics, acts of God, Force of Nature
or any other legitimate condition beyond D.J. “Dr. D”’s control. If such circumstances
arise, all reasonable efforts will be made by D.J. “Dr. D” to find a replacement
entertainment at the agreed upon fees. Should D.J. “Dr. D” be unable to procure
a replacement, Purchaser shall receive a full refund of all fees paid to D.J. “Dr.
D”. Purchaser agrees that in all circumstances, D.J. “Dr. D”’ liability shall be
exclusively limited to refunding the fees paid and that D.J. “Dr. D” shall not be
liable for indirect or consequential damages arising from any breach of contract.

In the event of non-payment, Robert D. Brown retains the right to attempt collection
through Collection Agencies. Purchaser will be held responsible for all court fees,
legal fees, and collection costs incurred by Robert D. Brown. Purchaser shall be
charged $50 for each bounced check plus a $7.50 service charge for each collection
notice.

The amount agreed upon and shown in line 7 above applies to the performance times
set forth in line 5 of this agreement. Performance time added after the start of
the engagement will be provided at the rate of $________ per hour. Overtime is billed
in half-hour increments. There is a 10-minute grace period before overtime is incurred
for any half-hour period. It may not always be possible to provide additional performance
time. However, when feasible, requests for extended playing time will be accommodated.
This agreement guarantees that D.J. “Dr. D” will be ready to perform at the start
time of the engagement. No guarantee is made as to D.J. “Dr. D”’ time of arrival;
however, D.J. “Dr. D” requests that they be permitted _____ minutes before and _____
minutes after the engagement for setup and takedown. If Purchaser or venue requires
D.J. “Dr. D” to complete setup more than ½ hour before the start time indicated
in line 5 of this agreement, or to postpone takedown more than ½ hour after the
end time indicated in line 5 of this agreement, the additional time will be charged
at the rate of $50 per hour. D.J. “Dr. D” also requests ramp or elevator access
between the parking/service entrance and the setup area. If the venue requires setup
or takedown in less time, or if equipment must be carried up stairs or lifted onto
a stage or carried across a lawn or moved over more than 10 feet to reach the setup
area, additional labor will be charged at the rate of $50 per laborer-hour.

13. |
Purchaser will take steps to protect D.J. “Dr. D”’ equipment, music and personnel
during the contracted period. Any damages incurred due to a lack of reasonable protection
on your part (except in the case of gross negligence on the part of D.J. “Dr. D”)
will be payable by Purchaser to the extent of repair or replacement of damaged music
and equipment, and all costs of medical treatment.

14. |
In the event of circumstances deemed by D.J. “Dr. D” to present a threat or implied
threat of injury or harm to D.J. “Dr. D”' staff or any equipment in D.J. “Dr. D”’
possession, D.J. “Dr. D” reserve the right to cease performance. If the Purchaser
is able to resolve the threatening situation in a reasonable amount of time (maximum
of 15 minutes), D.J. “Dr. D” shall resume performance in accordance with the original
terms of this agreement. Purchaser shall be responsible for payment in full, regardless
of whether the situation is resolved or whether D.J. “Dr. D” resume performance.
In order to prevent equipment damage or liability arising from accidental injury
to any individual attending this performance, D.J. “Dr. D” reserve the right to
deny any guest access to the sound system, music recordings, or other equipment.

15. |
This agreement cannot be canceled except by mutual written consent of both the Purchaser
and D.J. “Dr. D”. If cancellation is initiated by the Purchaser in writing and agreed
to by D.J. “Dr. D” in writing, Purchaser will be required to pay (in addition to
the reservation fee) any unrecoverable costs already incurred by D.J. “Dr. D” (but
not more than the total fee agreed upon). Otherwise Purchaser shall be obligated
to make full payment of the total fee agreed upon.

16. |
Purchaser shall provide D.J. “Dr. D” with safe and appropriate working conditions.
This includes, but is not limited to, providing a 6 foot by 6 foot area for the
DJ’s main setup, space for setting up speakers and lighting stands, a 120-volt outlet
(3-prong grounded with at least 15 amps available) from a reliable power source
within 25 feet (along the wall) of the set-up area, additional outlets on SEPARATE
circuits for lighting (if contracted for); providing a facility that completely
covers and protects D.J. “Dr. D”’ equipment from adverse weather conditions (i.e.,
direct sunlight, rain, excessive winds); providing crowd control if warranted; and
furnishing directions to place of engagement and free parking.
Purchaser accepts full responsibility and is liable for any damages, injuries or
delays that occur as a result of failure to comply with this provision.

17. |
Purchaser is responsible for paying any charges imposed by the venue. These charges
may include, but are not limited to, parking, use of electric power, overtime before
and after the engagement utilized by D.J. “Dr. D” for setting up and taking down
equipment.

19. |
The laws of State of Virginia shall govern this agreement. Venue for any legal proceedings
brought in connection with this contract shall be in the City of Hampton.
|

20. |
Purchaser agrees to defend, indemnify, assume liability for and hold D.J. “Dr. D”
harmless from any claims, damages, losses and expenses by or to any person, regardless
of the basis (except in the case of gross negligence on the part of D.J. “Dr. D”),
which pertains directly or indirectly to D.J. “Dr. D”’ performance. In the event
that a civil action arises in an effort to enforce any provision of this agreement,
the losing party shall pay the attorneys' fees and court costs of the prevailing
party.

21. |
Purchaser may not transfer this contract to another party without the prior written
consent of D.J. “Dr. D”.
|
|
22. |
This agreement is not binding until received and signed by D.J. “Dr. D”. Any changes
must be written and signed by both the Purchaser and D.J. “Dr. D”. Oral agreements
are non-binding. The latest contract supersedes all previous contracts between Purchaser
and D.J. “Dr. D” for the engagement listed above. If any clause in this agreement
is found to be illegal, the rest of the agreement shall remain in force.

23. |
D.J. “Dr. D” may elect not to exercise their rights as specified in this agreement.
By doing so, D.J. “Dr. D” does not waive their right to exercise those rights at
a future date.
